For our developer clients, we provide comprehensive, end-to-end counsel across the full lifecycle of real estate projects. Our work spans from the acquisition of raw land or existing assets through entitlement and re-entitlement processes – including, where applicable, land use and zoning matters – and extends through development and the structuring of debt and equity financing. We represent clients in connection with a wide range of projects, including commercial and mixed-use developments, public-private partnerships and residential communities such as single-family homes, townhomes and condominiums, along with related infrastructure throughout the D.C. metropolitan area. Our services also include the negotiation and drafting of purchase agreements, development and construction contracts, joint venture arrangements, tax planning strategies and ongoing contract administration and enforcement.

We also represent landlords and tenants in negotiating and preparing commercial leases across property types, including office buildings, shopping centers, retail spaces, medical offices and warehouses, and we regularly handle disputes in landlord/tenant court.

An integral component of our practice is advising real estate lenders, including community, regional and national banks as well as credit unions, on structuring, documenting and closing asset-based and balance sheet loan transactions to ensure proper security and enforceability.

Leveraging the firm’s deep tax expertise, our attorneys provide sophisticated tax analysis and planning to structure transactions efficiently. This includes designing and implementing Internal Revenue Code §1031 like-kind exchanges, as well as forming LLC, partnership and joint venture structures to optimize tax outcomes for our real estate clients.
